Enter Frame Paid Services Agreement

Thank you for using the Enter Frame platform and related services (referred to as "Enter Frame")!

"雅登永恆文化科技有限公司" and its related entities (referred to as "Company", "we" or "our") provide an artificial intelligence-driven creative platform called Enter Frame that enables users to generate and edit images, videos, combined with proprietary and third-party artificial intelligence models.

Enter Frame offers free and paid versions of some of its services and tools. Users who can access or use Enter Frame without paying any fees are called "free users"; while users who subscribe, purchase and are within the validity period are "paid users".

The "Paid Service Agreement" (hereinafter also referred to as "this Agreement") is concluded between you (hereinafter also referred to as "paid user") and us and has the same legal effect on both parties. Please read the entire content of this Agreement carefully, especially the clauses that are displayed in bold and have a significant relationship with your rights and interests (including clauses stipulating our responsibilities, your rights, dispute resolution methods, jurisdiction, etc.). Please pay attention to the key credits. If you do not agree or are not qualified to agree to any or all terms of this agreement, please do not confirm or accept to proceed to the next step or use Enter Frame platform membership services.

When you take the next step or use the Enter Frame platform membership service, it means that you have the corresponding civil capacity, agree to have reached an agreement with the Enter Frame platform, and you voluntarily accept this agreement and abide by all the agreements under this agreement.

We have the right to revise this Agreement based on actual operating conditions and other reasons. It is recommended that you check the revised version in a timely manner. Your use is deemed to be your confirmation and agreement to this Agreement and its revised versions.

1. Service Scope

• This agreement applies to all paid services purchased by "Enter Frame Platform" users on the Enter Frame platform. The paid services we currently provide include membership services and "credits" purchase services (specifically, please refer to the product page rule description and actual display of service rights at the time of actual purchase). This Agreement will apply to your purchase and use of any one or more of the above paid services.
• All other relevant agreements, activity rules, announcements, instructions, site letter notifications, etc. (collectively, the "Platform Rules") related to the "Enter Frame Platform" that we have published, may publish later, and modify from time to time (collectively, the "Platform Rules") are an integral part of this Agreement and have the same legal effect as this Agreement.
• Enter Frame platform paid service: It means that you pay a certain fee to purchase different levels of membership and obtain corresponding credits or supplementary purchase credits, and spend the credits to enjoy our corresponding services. After you pay the fee, you can continue to experience the paid benefits within the specified range of the "Enter Frame Platform" platform within the corresponding service period, hereinafter referred to as the "paid service" or "this service". Please note that different "Enter Frame Platform" product forms may provide and support different paid services. Please carefully understand the relevant information of the product interface when activating the corresponding services.

2. Activation and use of paid services

• You must first register or log in to the "Enter Frame Platform" and complete account verification before you can continue to purchase and use this service.
• Enter Frame platform features various paid services applicable to different payment models, including but not limited to
• Purchase different levels of membership and obtain corresponding credits
• Purchase credits package;

Please read this agreement carefully and the relevant usage rules that are explained on the product page and the actual display of service rights when you actually purchase. The company may adjust the payment model based on different marketing strategies and specific product conditions. The actual payment model displayed on the front-end product functions should prevail.

• Please note that you can only purchase additional credits packages after you have opened a membership; and members of different levels can only be upgraded from low-level members to high-level members, and vice versa cannot be changed. When a member upgrades, the amount of the deduction will be calculated based on the current remaining credits, as shown on the product page.
• After you complete the corresponding steps on the actual product purchase interface and confirm the successful payment of the service fee, you can activate membership, point package services and/or point services, and obtain the corresponding paid service rights.
• Please note that the validity period and scope of the above benefits you have obtained are subject to the announcement on the product interface.
• If you are unable to use the purchased paid services normally due to factors such as changes in laws and regulations, government actions, changes in circumstances, etc., we will notify you in an appropriate manner, but we will not be responsible for any losses caused to you. If you have any questions about this, you can contact us through the complaint and contact methods stipulated in this agreement.
• Please understand that we may send you recommended content, paid user benefits, promotional activities and other information through the email address bound to your user account or through site letters, site announcements, etc. If you do not agree to receive it, you can close or unsubscribe at any time by following the close or unsubscribe options included with the aforementioned information.

3. Credits Service

(1) "Credits" rights

• "Credits" are virtual tools we provide to users for redeeming related functions within the "Enter Frame Platform" and our cooperative platforms. You can use credits to redeem specific functions on the "Enter Frame Platform" (for details, please check the instructions on the relevant service pages of the "Enter Frame Platform").
• For the avoidance of doubt, credits service is the network technology and related services provided by the platform to users. Credits service is not an online payment service. Credits are not tokens, virtual currency or prepayment certificates, and have no monetary value or prepayment value.
• Credits can only be used to redeem the "Enter Frame Platform" products or services stipulated in this agreement. Credits do not support reverse conversion into RMB and other currencies.
• You may not obtain/use credits for non-personal use purposes such as profit, or obtain/dispose of credits by giving, lending, transferring, selling, mortgaging, or licensing others to use.

(2) How to obtain "credits" and their validity period

1. Recharge credits

• All users can activate membership in accordance with this agreement and relevant platform rules to obtain credits, or recharge and purchase credits on the basis of already opened memberships. The fee for recharging and purchasing credits will be charged to users by the company or the partner designated by the company.
• The channel provider corresponding to each recharge method may set relevant recharge channel handling fees according to its standards and charge them when users recharge. Therefore, if you plan to recharge to purchase credits, please be sure to pay attention to the channel provider service fees for each recharge method, and choose the recharge method according to your own needs.
• You understand and agree that the validity period of credits purchased through recharge shall be subject to the actual display of the product interface and service benefits at the time of your actual purchase.

2. Credits validity period

• After the credits service purchase takes effect, credits will be issued to your account in one go. The validity period of credits varies according to different purchase times, and the details are subject to the announcement on the product interface.
• If the applicable rules for the credits validity period may be different due to service policy adjustments, the actual description of the relevant rules for the display of front-end product functions shall prevail.

3. Event gifts

• We may give bonus credits or other benefits to user accounts that meet certain conditions based on actual operating conditions.
• The specific details and activity rules such as the validity period and scope of use of the gift credits shall be subject to the rules and descriptions on the relevant service pages. Please read, understand and comply with them carefully.

(3) Credits usage rules

• Credits cannot be transferred or given away between different users or between different accounts controlled by the same user; refunds or reverse exchange for RMB cash withdrawals are not supported.
• Credits can only enjoy the right to use designated functions or value-added services within the platform.
• Credits have a validity period and you should use them within the validity period. The validity period of the credits you recharge and purchase, the validity period of the credits you receive as gifts, etc. may be different. Please read the rules and instructions on the relevant service pages carefully.
• The priority rule for point consumption is: credits with a short remaining validity period take precedence over credits with a long remaining validity period.
• Please understand that in order to improve user experience and improve service content, we may update and optimize various credits services, functions, charging plans and user rights from time to time. The update and optimization process may involve the offline or adjustment of some online functions and rights. We will do our best to protect your legitimate rights and interests.
• You can contact us through [support@becast.ai] to check the balance of credits, remaining validity period, credits acquisition and consumption and other records. This record will be used as a valid basis for your use of credits. If you have any objection to the credits record, you can contact the company through the contact information stipulated in this agreement. If there are any errors after investigation and verification, we will correct them.

(4) Point consumption and generation failure handling rules

• Billing method: When you check the specific model to submit image generation, video generation and other tasks and select "Start Generation", and the system confirms the execution, the corresponding credits will be frozen; they will be officially deducted after the task is successfully completed.
• Return of credits upon failure: If the task fails due to platform reasons (including but not limited to system failure, computing power scheduling failure, unavailable generated results, etc.), the frozen credits will be automatically returned to your account. You can apply to retry or contact customer service.
• Circumstances in which credits will not be returned: (1) The task has been successfully executed and output produced, whether or not you are satisfied with the output (disputes over the quality of generated content are not grounds for a refund, but you may request human review through the feedback channel); (2) The task fails or produces abnormal output because the materials you uploaded violate rules, infringe rights, use an unsupported format or are damaged; (3) Credits remain unused while your account is restricted or banned because you violated platform rules; (4) Other circumstances attributable to you.

4. Payment and Refund

(1) Payment method

• You can pay through a variety of payment methods supported by the Enter Frame platform, including but not limited to [stripe], etc. The specific supported payment methods are subject to the actual purchase page display.
• You should ensure the accuracy of your payment information during the payment process. You will be solely responsible for any losses caused by incorrect payment information.

(2) Refund Policy

• Generally, once a paid service is successfully purchased, refunds are not supported. However, you can apply for a refund under the following special circumstances:

(1) Repeated deductions due to system failure;

(2) The service cannot be provided normally due to our fault;

(3) Refunds are available within 7 days of the first purchase without using any credits;

(4) Other situations stipulated by laws and regulations.

• Refund applications should be submitted within 7 days after purchase. Overdue applications will not be accepted. The refund amount will be returned to your payment account via the original route, and the arrival time depends on different payment methods.
• If you need refund consultation, please contact us through [support@becast.ai] and provide your registered email, account ID, payment receipt and purchased product details.
• If you request to delete your account due to personal reasons, you can delete your account through the "Delete Account" option in the user information. Your account will be permanently deleted after [15] days, and related unconsumed paid services will also be unavailable. If you do not comply with the refund policy, you will not be able to get a refund. Please be aware.

5. User Code of Conduct

• When using paid services, you should abide by relevant laws and regulations and this agreement, and shall not engage in illegal activities.
• You may not use paid services to:

(1) Produce and disseminate illegal content;

(2) Infringement of others’ intellectual property rights, privacy rights and other legitimate rights and interests;

(3) Malicious attacks and destruction of platform systems;

(4) Other behaviors that violate laws, regulations or platform rules.

• If we find that you have violated regulations, we have the right to suspend or terminate your paid services without refund.

6. Service changes and termination

(1) Service changes

• We have the right to adjust the content, functions, prices, etc. of paid services based on business development needs.
• Major changes will be notified to you in advance through platform announcements, site messages, etc.

(2) Termination of service

• We have the right to terminate the provision of paid services to you under the following circumstances:

(1) You seriously violate this agreement or relevant laws and regulations;

(2) There are security risks in your account;

(3) Unable to continue to provide services due to force majeure;

(4) Other situations stipulated in laws and regulations.

• After the service is terminated, the fees you have paid will not be refunded in principle, unless otherwise provided by laws and regulations.

7. Intellectual Property

• Except for your content, all rights including intellectual property rights and ownership of the Enter Frame platform and related services belong to us.
• The intellectual property rights of the content generated by your use of paid services shall be governed by the relevant provisions of the "Enter Frame Platform User Service Agreement".
• You may not use the trademarks, logos and other intellectual property rights of the Enter Frame platform without our written consent.

8. AI generation instructions

All output provided by this service is generated by artificial intelligence models and does not constitute our legal representation; there may be errors or omissions and are for your reference only. Any judgment you make based on the output content or subsequent related operations based on it will be borne by you, including risks arising from reliance on the authenticity, accuracy, reliability, non-infringement, or fulfillment of specific purposes of the output content. You should understand generative artificial intelligence technology scientifically and rationally and use it in accordance with the law.

9. Disclaimer

• We will try our best to ensure the stability and availability of paid services, but do not guarantee that the services will not be interrupted or errors will occur.
• We are not responsible for service interruption or loss due to the following reasons:

(1) Force majeure factors;

(2) Technical reasons such as network failure, equipment failure;

(3) Third-party reasons;

(4) Your operation is inappropriate.

• We are not responsible for indirect losses arising from the use of paid services.

10. Dispute Resolution

• The establishment, execution and interpretation of this agreement, as well as the resolution of related disputes, shall be governed and interpreted in accordance with the laws of Hong Kong.
• If there is a dispute over the content or execution of this Agreement, both parties agree to seek resolution through friendly negotiation first. If the parties fail to resolve the dispute through negotiation, the parties agree to submit the dispute to the Hong Kong International Arbitration Tribunal for arbitration in accordance with the then-effective arbitration rules of the Hong Kong International Arbitration Center ("HKIAC") (as modified by these Terms).
• The arbitration will be conducted in Hong Kong and the language of arbitration will be Chinese. The arbitration award shall be final and binding on the parties.

11. Other Terms

• This Agreement will be effective from the date you confirm your agreement until you stop using the paid services or we terminate the provision of services.
• If any provision of this agreement is determined to be invalid or unenforceable, the validity of other provisions will not be affected.
• We have the right to modify this agreement based on business development needs. The modified agreement will be announced on the platform. Your continued use of paid services will be deemed to agree to the modified agreement.
