Enter Frame User Service Agreement

Thank you for using the Enter Frame platform and related services!

"雅登永恆文化科技有限公司" and its related entities (referred to as "Company", "we" or "our") provide an artificial intelligence-driven creative platform called Enter Frame that enables users to generate and edit images, videos in combination with proprietary and third-party artificial intelligence models.

These Terms of Use ("Terms of Service") apply to your access to and use of the products, services, applications, software, platforms, websites and related functions operated or provided by Enter Frame (collectively, the "Services"). We hereby remind you to read and fully understand the terms of this Agreement. By accessing or using the Services, you acknowledge your acceptance of the following terms, specifically Limitation of Liability, Indemnification and Breach of these Terms of Service. If you do not understand or accept any terms of the Service, please stop using the Service.

We do not provide services to children under 18 years of age. If we discover that a minor is accessing or using the Services in violation of these Terms, accounts may be suspended or terminated and data deleted.

If you continue to access or use the service in any way, it means that you meet the requirements for using the service and have read, understood and agreed to be bound by this Agreement. To the extent permitted by law, we reserve the right to change these Terms of Service at any time. Your continued use of the Services following the posting of any such changes shall constitute your acceptance of those changes.

1. Services

1.1. Scope. Your right to access and use the Services, in whole or in part, is governed by this Agreement. If you access or use the Services on behalf of an entity, you represent that you have the authority to enter into this Agreement on behalf of the entity named during the account registration process. We care deeply about the protection of your personal information and our Privacy Policy describes how we collect, process and protect your personal information, as well as your rights to access, correct and delete such information. The Service is also governed by our Privacy Policy.

1.2. License. Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, non-sublicensable and revocable license to access and use this product and related services only for personal or internal business purposes. All other rights not expressly authorized by this Agreement are still reserved by us.

1.3. Availability. We operate and manage these services. While the Services can be accessed from anywhere in the world, the availability of related features, products and services may vary by country or region. This availability is subject to applicable laws, regulatory requirements and business considerations in each jurisdiction.

Your access to the Services is voluntary. You are solely responsible for ensuring that your use of the Services complies with all applicable laws, regulations and rules in the jurisdiction in which you use the Services. We do not guarantee that the Services or their content are appropriate, permitted or available in all regions.

2. Account

2.1. Account registration

In order to access the Services, you will need to register for a Services account ("Account") and become a user of the Services ("User"). You can log into the Service using the username and password you create.

You shall provide us with information and complete all registration procedures in accordance with the instructions on the registration page. You should ensure that you meet the following requirements, otherwise we have the right to suspend or permanently terminate, cancel or revoke your account, and interrupt or stop providing Enter Frame services to you without assuming any liability:

• Provide us with true, accurate, current and complete information and not provide us with any false or misleading information;
• Except for registering through a third-party account authorized by us, you can only register through our official channels. You may not obtain an account through unauthorized or other illegal means, including but not limited to purchasing, renting, borrowing, sharing, malicious use or damaging our registration system;
• You may not impersonate or attempt to impersonate another person;
• You shall not infringe the legitimate rights and interests of third parties; and
• You must protect your account username and password and keep them confidential.

2.2. Account Security and Management

You promise and must comply with all applicable laws and regulations when using the Service and any Services.

Your account can only be used by yourself. You may not lend, gift or lease the account, nor may you transfer, sell or share the account with others. Otherwise, you will be responsible for any legal consequences arising therefrom. If you authorize anyone to use the Services on your behalf, you will ensure that they comply with this Agreement at all times.

2.3. Account Cancellation

You can delete your account. Please note that once you successfully delete your account:

(1) You will not be able to use the canceled Enter Frame account;

(2) You will be deemed to have automatically given up all rights and/or interests related to the use of Enter Frame services (including existing rights but not used, expected benefits, data, etc.), and we will not be able to help you retrieve any content, information, data or records related to your account, unless otherwise provided by applicable laws, regulations and/or regulatory requirements;

(3) Your canceled account will never be restored;

(4) Please note that your deletion of your account does not mean that you are released or exempted from any liability arising from the use of the account.

3. Content

3.1. Service Content

3.1.1. Services. Except for the Content, you agree that the Company and its affiliates legally own all rights and interests in the Services. You may not remove, alter or obscure any copyright, watermark, trademark, service mark or other proprietary notices, if any, contained on the Services.

3.1.2. Your Content. You understand and promise that when using our services, the content you provide will be content for which you own intellectual property rights or have obtained legal authorization, and will not contain any content that violates applicable laws and regulations, infringes on the legal rights of others (including but not limited to copyright, patent rights, trademark rights and other intellectual property rights, as well as personality rights, personal information rights and other rights), or violates public order and morality.

3.1.3. User input and output. While using the Service, you may submit text, video, or other content or information to it (collectively, "Inputs") and receive content generated based on your Inputs (collectively, "Outputs").

We do not claim ownership of these outputs. Within the scope of non-commercial use, you retain ownership of the inputs and also retain ownership of the outputs. Your use of the output is limited to non-commercial purposes unless you obtain separate authorization from the rights holder. For the avoidance of doubt, if any input and/or output contains content in which any party holds intellectual property rights or other legal interest, that party's rights are not affected and are not altered by inclusion in the input or output.

You acknowledge that due to the nature of artificial intelligence, the output produced by the Service may not be unique from user to user. Other users may receive output similar to or identical to yours. The Company does not guarantee the uniqueness, originality or exclusivity of any Output.

3.1.4. Content License. You understand and agree that for all or part of the content you input, generate, post or transmit through the Service (collectively, "Content"), you grant the Company and/or its affiliates a free, worldwide, perpetual and sublicensable license to use, reproduce, modify, adapt, prepare derivative works from, translate, distribute and publicly display your Content (in whole or in part) to operate, provide and maintain products and related services; but only if (a) you have made the content public on the Service (such as posting to a public community page), or (b) with your consent; the Company will not use your private content in marketing or private content you create for customers or clients without your consent.

3.2. Platform creative materials

Enter Frame may provide certain images, characters, templates, visual elements or other creative materials ("Platform Creative Materials") to inspire users and support content creation within the Services.

You may only use platform creative materials within the Service, and only for purposes consistent with the intended creative functions of the platform. Access to these materials is for limited use only and does not entitle you to any broader rights of use, including any rights outside of the Services.

You agree not to use any Platform Creative Materials for the following purposes:

• Political activities, electoral influence, political advocacy or related information;
• Fraudulent, deceptive, harmful or other illegal activity;
• External commercial use, including advertising, endorsements, or monetization, unless expressly authorized by the Company;
• Any use that may violate relevant laws, regulations or community guidelines.

We may, at our sole discretion and without liability, modify, restrict, suspend or remove access to the Platform Creative Materials, or any content containing such material, if we determine that the material has been used inappropriately or in violation of these Terms. We may also ask you to modify or delete non-compliant content.

You understand that the creative materials on the platform may be subject to usage restrictions updated by the service from time to time, and your use must comply with these restrictions.

Platform creative materials are for non-commercial, in-platform creative use only. Unless expressly authorized by Company, you are strictly prohibited from using any Platform Creative Materials—whether alone or as part of the Output—for any commercial purpose.

3.3. External Sharing

You may share creations in the Service to third-party platforms, provided that the shared content complies with these Terms and applicable laws.

External sharing does not confer any rights to use the shared content for commercial purposes. You must ensure that any content you share externally cannot be used for commercial purposes unless expressly permitted by these Terms and applicable rights.

• Based on content from other users: If your content is derived from the licensed work of another user, your external sharing must not infringe the rights of the original author.
• Public Figure or Third Party Intellectual Property: If your content contains identifiable real people, celebrities, brands, characters, or other protected elements, you must ensure that you obtain the necessary permissions before sharing externally.
• Platform Materials: Some materials provided by the platform are for use within the platform only. External sharing of such materials must comply with any restrictions posted on the Service.

We may ask you to modify or delete externally shared content that does not meet these requirements.

3.4. User Responsibility for Content

You are solely responsible for all content that you upload, input, generate, publish, share or otherwise use through the Service ("User Content"). You represent and warrant that your User Content complies with all applicable laws and does not infringe or violate any third party’s intellectual property rights, personality rights, privacy rights or other legal interests. To the maximum extent permitted by law, we are not responsible for any disputes, claims, investigations, fines, losses or damages arising from User Content, and all resulting consequences shall be borne by you.

Nothing in these Terms shall be construed as exempting or limiting our obligations to comply with relevant content governance, supervision or takedown requirements. We may, in our reasonable discretion, review, restrict, remove or disable access to User Content that may be unlawful, infringe the rights of others or otherwise violate these Terms. To the extent permitted by law, we are not responsible for User Content and any consequences arising from its use.

4. Usage restrictions

4.1. You agree that the service shall not infringe the legitimate rights and interests of third parties, nor may it be used in situations prohibited by these Terms. We reserve the right to prohibit any such behavior, and in serious cases we reserve the right to ban your account. Specific situations include but are not limited to:

• Do not promote, organize, or participate in harassment. We do not tolerate any form of harassment, including but not limited to continued bullying and sexual harassment.
• Do not threaten harm to other people or groups. This includes direct, indirect and implied threats.
• Do not share or threaten to share personally identifiable information without consent.
• Please do not use hate speech or other hateful conduct. This includes the use of hateful symbols, images and statements that deny the history of massive human atrocities.
• Do not organize, promote or support violent extremism. This includes glorifying or promoting violence or its perpetrators; disseminating content that may encourage or incite violence.
• Do not directly or indirectly solicit, share, disseminate, promote, or normalize child sexual abuse content. Additionally, please do not post content or conduct that relates to child sexual behavior in any way. This includes real media, animation (such as lolicon), and various digital creations.
• Do not share, distribute or create sexually explicit or suggestive content of others. This includes intimate content produced without consent.
• Do not share content that glorifies, encourages, or normalizes suicide or other acts of physical self-harm. This includes content that encourages others to cut, burn or starve to death, as well as content that normalizes eating disorders such as anorexia and bulimia. Emotional manipulation or coercion through self-harming behavior or threats is prohibited.
• Do not share content that contains actual violence, excessive violence, or animal harm.
• Don't share content that infringes anyone's intellectual property or other rights.
• Do not organize, promote, facilitate, or sell regulated or potentially dangerous goods.
• Do not coordinate or participate in illegal gambling. Users are required to comply with relevant gambling laws and regulations.
• Do not organize, promote, or engage in any other illegal activity, such as human trafficking or sexual solicitation.
• Do not use the Service to generate political campaign graphics or attempt to influence the outcome of an election.
• Do not use the Services to attempt or actually defraud anyone.

4.2 You may not use any form of device, process or algorithm, including deep linking and page scraping, or any same or similar manual process, to access, acquire, copy or monitor any part of the Service or Content. Additionally, you may not access, obtain, or copy any materials, documents, or information on the Service through any means not provided by us.

4.3. You shall not attempt illegal access, decoding or other illegal methods to gain unauthorized access to the Service. You may not trace, reverse query, decrypt or decode any customer service information, including but not limited to user ID other than your own.

4.4. You shall not violate any security mechanisms or authentication measures, nor launch any form of attack targeting any network weaknesses.

4.5. You may not attempt to interfere with the normal operation of the Service, or use the Service in a manner not expressly permitted by this Agreement, such as attempting to violate the security features of the Service, introducing viruses, worms or similar harmful code into the Service, or attempting to interfere with other users' use of the Service, hosts or networks, including by overloading, spamming or causing the Service to crash.

4.6. Do not submit sensitive personal information about yourself or others, including full name, contact information, government-issued identification, financial account numbers, health information, precise geographic location, and account credentials. This section does not apply to media submitted for use in specific service features, as described in Section 5.3.

4.7. Where required by applicable law, you shall disclose that the output is artificially generated or manipulated and shall not remove, alter or obscure any of the Company's artificial intelligence markup.

4.8. Biometric Information. Without prejudice to Section 4.1, you may not use the Service to uniquely identify, verify or authenticate any individual, and you may not submit biometric identifiers or biometric templates (such as fingerprints, iris scans or voiceprints) as your Content. This restriction does not prevent you from submitting photos, videos containing faces or voices to use features in the Service. If you submit photos, videos or voices containing an individual's face (if any), you warrant that: (a) you have obtained the authorization required by applicable law from all individuals whose faces or voices are included; (b) you have provided the disclosures required by law to process such information through the Service; and (c) you have the right to grant the relevant licenses specified in Sections 3.1.3 and 3.1.4. The Company does not use data derived from such content to identify, verify or authenticate individuals.

4.9. Personal information entered. Please do not submit sensitive personal information about yourself or others, including full name, contact information, financial account numbers, health information, precise geographic location and account credentials.

5. Account recharge, subscription, payment, refund

5.1 Account Recharge

5.1.1 Please read the recharge agreement and recharge rules carefully before recharging. Clicking "Accept" means that you have read and agreed to the recharge agreement. If you do not agree to any terms of the recharge agreement, please stop recharging immediately.

5.1.2 You must use the recharge method specified by Enter Frame to use Enter Frame paid services and obtain certain virtual products/services. Please ensure that your Enter Frame account has been bound to a payment method that has passed real-name authentication to avoid being unable to recharge or use services. Enter Frame reserves the right to adjust payment methods based on business development or changes in cooperation.

5.1.3 Please check carefully to ensure the accuracy of the account information and recharge amount. Once the recharge order is submitted, the recharge amount cannot be changed. Any errors caused by user errors or misunderstandings are the sole responsibility of the user. After the payment is successful, the recharge amount will be credited to the corresponding Enter Frame account balance in real time. If there is a delay in arrival due to special circumstances such as network delays or payment system maintenance, the funds will arrive as soon as possible after the situation returns to normal.

5.1.4 Your Enter Frame account balance is only for your use in the account and is not transferable, giftable, loanable, refundable (unless otherwise provided in these Terms), etc.

5.1.5 All virtual products/services should be obtained through Enter Frame official channels. Virtual products/services obtained through unofficial channels do not have any legal effect on Enter Frame. Enter Frame reserves the right to recall virtual products and terminate services when necessary without assuming any liability for compensation.

5.1.6 Your Enter Frame account and third-party accounts are set up by you. Please keep your account and password information safe and never provide it to any third party. All operations performed using the above-mentioned accounts are deemed to be your own, and you shall be responsible for any consequences arising therefrom.

5.2 Subscription

5.2.1 After subscribing, you can enjoy the paid services currently provided by us, including membership services and "credits" purchase services (specifically, please refer to the product page rule description and actual display of service rights at the time of actual purchase).

5.2.2 Subscription is effective upon successful purchase.

5.2.3 Enter Frame may adjust the subscription fee due to subscription rights adjustment, market and business development and other reasons. The adjusted subscription fee will take effect from the date of announcement. Subscription services that have been activated before the effective date will not be affected, but if the subscription service needs to be renewed after it expires, you will need to pay the adjusted effective fee standard.

5.2.4 You shall not engage in the following conduct:

(1) Use subscription services for profit or illegal gain, or for other non-personal purposes;

(2) Transfer or assign subscription services in any form;

(3) Lending subscription services to others;

(4) Obtaining subscription services through improper means or violating the principle of good faith, such as maliciously bypassing normal account opening procedures;

(5) Other situations that disrupt market order, violate trading rules, or are deemed unfair or dishonest by Enter Frame.

5.2.5 If the user violates any laws, regulations, these terms or other agreements of Enter Frame, Enter Frame has the right to take measures, including but not limited to suspending/cancelling user rights, closing Enter Frame accounts, etc., without refund, damages or compensation. The user shall bear all responsibilities arising therefrom.

5.3 Payment

5.3.1 Enter Frame attaches great importance to your payment security and takes security measures to ensure the security of your payment information during transmission and storage. All payment operations are conducted through the secure payment gateway of a third-party payment institution. Enter Frame will not directly store your third-party payment account, password and other sensitive payment information.

5.3.2 After the payment operation is completed, your account status and related rights and interests will be updated simultaneously, please check in time.

5.3.3 Enter Frame may change the content of paid subscriptions from time to time, including adjusting subscription fees or discount codes, and will notify you in advance of any price changes. Price changes will be effective at the beginning of the next subscription period following the price change date. If you continue to use and pay for Enter Frame services after the price change takes effect, it means that you accept the new price.

5.3.4 The tax rate shall be the tax rate in effect when you make your regular payment. These rates may be adjusted over time due to possible changes in your local tax regulations. The actual bill shall prevail.

5.3.5 Third-party service providers provide payment services. Your use of these payment services is subject to an agreement between you and the third-party service provider, which agreement may be modified at any time. As a condition of using these payment services, you must provide accurate and complete information, and you authorize us to share this information with third-party service providers.

5.4 Refund

5.4.1 Except for the refund policy specified in the "Enter Frame Platform Paid Service Agreement", no refunds or changes will be accepted. Before recharging, please be sure to confirm the recharge requirements and corresponding amount, and bear full responsibility for this.

5.4.2 If you meet the conditions for refund, please be sure to contact us immediately to submit a refund application and provide necessary information such as recharge details, refund reasons and relevant certificates. Enter Frame will check the background data, and after passing the review, we will start the refund process.

6. Third-party services

The Service may contain links to third-party websites ("Third-Party Sites"), applications ("Third-Party Applications"), and third-party advertisements ("Third-Party Ads") (collectively, "Third-Party Services"). When you click on a link to a third-party service, you will be subject to the terms and conditions (including the privacy policy) of that website or destination. Such Third Party Services are not under the control of Company, and Company is not responsible for any Third Party Services. Company provides these Third-Party Services only as a convenience and does not review, approve, monitor, endorse, guarantee, or make any representations regarding the Third-Party Services or any products or services related thereto. Use all links from third-party services at your own risk. When you leave our Services, this Agreement and our policies no longer apply. You should review the applicable terms and policies, including privacy and data collection practices, of any Third-Party Services, and make whatever investigations you feel necessary before dealing with any third party.

Certain features and models available through the Services are provided by third-party model providers. When you use a feature or model supported by a third party, you agree to abide by that provider's applicable acceptable use or prohibited use policy (as updated from time to time), in addition to this Agreement; when such policies are more restrictive, restrictive terms will govern your use of that feature or model.

7. Rights Reserved

7.1 All intellectual property rights, including without limitation copyrights, trademarks, patents, trade secrets, designs, information, artwork, data, code, products, software and any other proprietary rights relating to Enter Frame, including the rights therein and any derivative rights therein, are owned by us or our licensors. Except as expressly provided in these Terms, we grant you no license or other rights to any intellectual property rights. You agree not to infringe our or our licensors’ intellectual property rights. Any unauthorized use of our intellectual property is a breach of these Terms and may violate applicable laws, including without limitation copyright laws, trademark laws, and applicable communications regulations and statutes.

7.2 The ownership and intellectual property rights (including but not limited to copyrights, trademarks and patents) in the Service and all content displayed on Enter Frame (including but not limited to trademarks, logos, logos, applications, source code, programming interfaces, web pages, text, images, audio, video, graphics) belong to Enter Frame or other rights holders. You may not use, modify, copy, distribute, change, transmit or publish the above content without our written consent, otherwise you must compensate us or other rights holders for all losses suffered thereby.

We reserve the right to perform the following actions at any time, without prior notice:

• Operation of or access to all or part of the Services may be suspended or terminated at any time for any reason.
• Amend or change all or part of the Service, and any applicable policies, terms or conditions.
• Suspend the operation of all or part of the Service to conduct maintenance, error adjustments, or other similar changes, at irregular intervals. Please note: The Service, including source code, user interface, trademarks and algorithms, are the exclusive property of Enter Frame. These Terms do not give you any rights to use our trademarks or trade names.
• Company may, but has no obligation to, monitor and filter the Services and/or Content, including your Content and Output, and User Content, at any time. You hereby consent to such monitoring.
• Disclose your identity or other information to any third party that has a reasonable basis for claiming that you have violated its rights;
• Take appropriate legal action, including but not limited to cooperating with law enforcement and/or other applicable legal authorities, regarding any potentially illegal or unauthorized use of the Services, or where the Company believes that illegal activity has occurred

Our failure, delay in exercising or partial exercise of our rights under the Laws and Terms shall not be deemed a waiver of such rights nor shall it prevent us from exercising such rights in the future.

8. Disclaimer

We do not guarantee the availability, continuity or accessibility of the Services, Content or Services. THE SERVICE AND ITS CONTENT ARE PROVIDED "AS IS". As a user, you are solely responsible for your use of the Service and any websites associated with it. If you are dissatisfied with all or part of the Services, your sole remedy is to discontinue all or part of the Services, as limited remedies form part of your agreement with us regarding your use of the Services.

We are not responsible for any losses, and we are not required to pay compensation of any nature due to the unavailability, inconvenience or failure of the service or system due to: (a) the system is shut down for maintenance; (b) the inability to transmit data due to the failure of communication terminals or telecommunications equipment; (c) System failure and inability to perform its functions due to force majeure events (including but not limited to typhoons, earthquakes, tsunamis, floods, power outages, fires, storms, wars, political unrest, strikes, labor or material shortages, riots, riots, civil unrest, terrorist attacks, explosions, acts of God, government actions, orders of domestic and foreign courts or tribunals, non-performance by third parties); or (d) Suspension or delay in service or system failure due to reasons beyond our reasonable control, such as hackers or cyberattacks, technical adjustments or failures in the telecommunications sector, website upgrades, third-party issues, or any suspension or interruption of transportation or business operations due to the spread of a national or regional epidemic or pandemic (including, but not limited to, delays or interruptions in the resumption of work or operations ordered by any government agency).

9. AI generation instructions

All output provided by this service is generated by artificial intelligence models and does not constitute our legal representation; there may be errors or omissions and are for your reference only. Any judgments you make based on the input and output content or any subsequent related operations based on this will be your own responsibility, including risks arising from reliance on the authenticity, accuracy, reliability, non-infringement or fulfillment of specific purposes of the input and output content. You should understand generative artificial intelligence technology scientifically and rationally and use it in accordance with the law.

10. Limitation of Liability

Except where prohibited by law, in no event shall we be liable for all consequential or punitive damages, including but not limited to lost profits, arising out of the use of the Service.

The total and maximum liability of us and our partners for any damages or losses of any kind resulting from your use of the Services shall not exceed the total amount of any subscription or similar fees paid by you for your use of the Services or features.

11. Violation of these Terms of Service

You agree that we reserve the right to terminate your access to the Service and/or block your access to the Service if we believe that you have violated any of the Terms of Service.

If you violate these Terms of Service, we revoke your access to the Service and we will have no liability to you or any third party.

You agree that we may only decide to terminate your access to all or part of the service features without prior notice for reasons including but not limited to:

(1) Respond to requests from law enforcement agencies or other government agencies.

(2) Respond to your own requests.

(3) Suspend or significantly modify the Service or any of its services.

(4) Unforeseen technical problems.

12. Effectiveness and Jurisdiction

These Terms are effective as of the date of posting and constitute the entire agreement between you and Enter Frame.

The establishment, execution and interpretation of this agreement, as well as the resolution of related disputes, shall be governed by and interpreted in accordance with the laws of Hong Kong.

If there is a dispute over the content or execution of this Agreement, both parties agree to seek resolution through friendly negotiation first. If the parties fail to resolve the dispute through negotiation, the parties agree to submit the dispute to the Hong Kong International Arbitration Tribunal for arbitration in accordance with the then-effective arbitration rules of the Hong Kong International Arbitration Center ("HKIAC") (as modified by these Terms).

The arbitration will be conducted in Hong Kong and the language of arbitration will be Chinese. The arbitration award shall be final and binding on the parties.

13. Others

If you believe that any User Content or other materials made available through the Services infringes upon your copyright or other intellectual property rights, you may submit a written notification of infringement to the contact information specified in these Terms. Upon receipt of a valid notification, we will review the report and take appropriate action in accordance with applicable law and these Terms, which may include removing or disabling access to the infringing content. In accordance with our content governance obligations, we may suspend or terminate the accounts of users who are found to be repeat infringers.
